Once you sign up to become a teacher on the MycoLearn platform, you agree to abide by these MycoLearn Teacher Terms and Conditions (Terms). Terms are always pretty dry and boring to read but we’ll try our best to keep things engaging and easy to understand!
Ok, let’s get on with it!
As a MycoLearn teacher, you are contracting directly with Lux Amal LLC (a business registered in Delaware, United States).
1. Teacher Obligations
The coolest people in school? Teachers! That’s right, you guys are the alpha, the head honchos, the dons, the authority. You’re the ones in charge of your lessons and your students, so that also means you have to stay accountable.
As a teacher, you are responsible for all of the “Submitted Content” you choose to upload on MycoLearn. For example, posts, quizzes, tests, answers, exercises, resources, assignments, course marketing, landing page content, announcements, assessments, handouts, videos, yada yada yada. You get the point!
1.2 Respect the vegan community
We all want to give our students the best experience possible and form a strong and cohesive vegan community, so it’s up to you to ensure that all of the information you provide and maintain is accurate and appropriate. MycoLearn will not tolerate racist, sexist, inappropriate, false, offensive, hateful, pornographic, misleading, defamatory, incorrect, infringing, or libellous content or information.
And it’s not just the students we care about. We’re one big happy family at MycoLearn, so no bickering between yourselves or interfering with another teacher’s course/ability to teach.
1.3 Qualifications and credentials
We’d love to interview you all and make sure you’re all qualified for the job but, since that’s not possible, it’s your responsibility to ensure that you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the MycoLearn Services. It’s also up to you to make sure that your offerings comply with applicable laws and the standards of your industry. So no offering your wizarding services without checking with the White Council first, ok?
1.4 Property rights
1.5 Proper usage
Our platform enables you to communicate with your students but we ask that you only use the Services to provide teaching, tutoring, and instructional services. We’re an online education platform, not a marketplace, so please don’t post or transmit any unauthorised or unsolicited junk mail, spam, promotional materials, or any other form of solicitation to any of our MycoLearn students or users.
Furthermore, MycoLearn should not be used for any purpose that may be deemed inappropriate or illegal. So no piracy or extremism!
We understand that you may wish to increase your revenue and reach by posting your course on multiple hosting platforms (or your own website) but we do not allow circumvention of the Services. In other words, you are not allowed to redirect students/users from MycoLearn to the same course that is posted elsewhere. For example, if you send someone from MycoLearn to a free version of your course on your own website.
2. License to MycoLearn
2.1 Permissions & accessibility
We want everyone to attend the coolest school on the Internet so we’ll always do our best to be as inclusive as possible. To help us make all of our content accessible, you’ll grant MycoLearn the rights to offer, market, and otherwise utilise your Submitted Content. What this means is that we’ll be able to add helpful captions or modify your content to make it more accessible. You also authorise MycoLearn to sublicense the rights to your Submitted Content to third parties, including directly to students and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.
We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant MycoLearn permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or MycoLearn’s content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law. Phew! That was a mouthful.
If you change your mind about hosting your eLearning content on MycoLearn, we’re cool with that! You can remove all or any portion of your Submitted Content from the platform at any time. MycoLearn’s right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submitted Content’s removal.
However, (1) rights given to students before the Submitted Content’s removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and (2) MycoLearn’s right to use such Submitted Content for marketing purposes shall survive termination. What this means is that you keep your promises to the students who have already purchased your course. If you’ve given them lifetime access, it’s your responsibility to uphold this. It also means that we don’t have to painstakingly remake any adverts or marketing videos if we’ve used clips from your removed course content.
3. Safety and Trust
3.1 Safety and Trust policies
You agree to abide by MycoLearn’s Safety and Trust policies, Restricted Topics policy, and other content quality standards or policies prescribed by MycoLearn from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to MycoLearn’s approval, which we may grant or deny at our sole discretion. Can you tell that I’ve got tired of trying to make these Terms interesting? Don’t worry, it gets better. See, look! There’s a pretty butterfly!
We reserve the right to remove content, suspend payouts, and/or ban teachers for any reason at any time, without prior notice, including in cases where:
- content falls below our quality standards or has a negative impact on the student experience;
- an instructor engages in behaviour that might reflect unfavourably on MycoLearn or bring MycoLearn into public disrepute, contempt, scandal, or ridicule;
- an instructor engages the services of a marketer or other business partner who violates MycoLearn’s policies;
- an instructor who promotes cruel, unethical, or actively non-vegan services/products;
- an instructor uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates MycoLearn’s policies; or
- as determined by MycoLearn in its sole discretion.
3.2 Co-Instructors and Teaching Assistants
It takes two, baby! It takes two, baby! To make a dream come true, it just takes two (or more)…co-instructors/teaching assistants to deliver an online eLearning course. Sometimes.
The MycoLearn platform allows you to add other users as co-instructors (or teaching assistants) for Submitted Content that you manage. Usually, teachers choose to do this to bring in another’s expertise, which is great for MycoLearn students. We know you’re too lovely to try and exploit us but – just in case a weird, parasitic goop attaches itself to you and makes you do bad things – you are required to comply with our Co-Instructor Relationship Terms when taking such actions.
By adding a co-instructor or teaching assistant, you understand that you are authorising them to take certain actions that affect your MycoLearn account and Submitted Content. Violations of MycoLearn’s terms and policies by your co-instructor or teaching assistant may also impact your MycoLearn account and Submitted Content.
Any bickering between you, your co-instructor, and/or your students will have to be sorted out between yourselves; there’s a reason why Lucy and I haven’t had kids (yes, I know we’re running a school…no one said we weren’t hypocrites). If your co-instructors have an assigned revenue share, then this will be paid out of your earned revenue share and it is your responsibility to ensure that they receive their earnings.
3.3 Relationship with other users
We take data privacy very seriously at MycoLearn. Teachers don’t have a direct contractual relationship with students, so the only information you’ll receive about students is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on the MycoLearn platform and that you won’t solicit additional personal data or store students’ personal data outside the MycoLearn platform. You agree to indemnify MycoLearn against any claims arising from your use of students’ personal data.
4.1 Price setting
When creating Submitted Content available for purchase on MycoLearn, you will be prompted to enter a price (“Course Price”) for your Submitted Content. Alternatively, you may choose to offer your Submitted Content for free.
When a student purchases using a foreign currency, we will convert the relevant Course Price into the student’s applicable currency using a system-wide foreign currency conversion rate set by MycoLearn’s WooCommerce account. These conversion rates may not be identical to the applicable market rate in effect when a transaction is processed. We reserve the right to update these rates at any time.
You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.
4.2 Transaction Taxes
If a student purchases a product or service in a country that requires MycoLearn to remit national, state, or local sales or use taxes, value-added taxes (VAT), or other similar transaction taxes (“Transaction Taxes”), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due.
It’s time for the section you’ve all been waiting for, payments!
5.1 Revenue share
So, how do we work out how much you get? Each time you make a sale (i.e. when a student purchases your Submitted Content), we calculate the gross amount of the sale as the amount actually received by MycoLearn from the student (“Gross Amount”). To calculate the net amount of the sale (“Net Amount”), we subtract any Transaction Taxes from the Gross Amount. Simples.
Your revenue share will be 80% of the Net Amount after any applicable deductions, such as student refunds. If we change this payment rate, we will provide you with 30 days notice using prominent means, such as via email or by posting a notice through our Services.
MycoLearn makes all instructor payments in British pounds (GBP) regardless of the currency with which the sale was made. MycoLearn is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur.
Teachers can see their wallet status from the Instructor Dashboard. The Earning tab showcases current balance, total earnings, and total sell (which includes admin commission and fees) among other things. The important thing to note here is, ‘My Balance’ is the amount after all fees and commissions have been deducted.
5.2 Receiving payments
We love paying our teachers, it makes us feel all warm and fuzzy inside. To withdraw money from MycoLearn, you must own a PayPal or a UK bank account and must keep us informed of the correct credentials associated with your account. Make sure you remember to click “Save Changes” after entering your details!
Payment will be made within 30 days of the day we receive payment from the student. This will allow us time to receive the money into our system and account for any eligible refunds and/or fees that need to be processed.
As an instructor, you are responsible for determining whether you are eligible to be paid by a U.S. company. We reserve the right not to pay out funds in the event of identified fraud, violations of intellectual property rights, or other violations of the law.
If we cannot settle funds into your payment account after the period of time set forth by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, including by submitting those funds to the appropriate government authority as required by law. Them’s the rules.
5.3 Tax documentation
If we require any identifying information or tax documentation (such as a W-9 or W-8) necessary for the payment of amounts due, you must provide this upon request. You also agree that we have the right to withhold appropriate taxes and fees from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.
If a student asks for a refund after we have paid the relevant instructor payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the instructor or (2) where no further payments are due to the instructor or the payments are insufficient to cover the refunded amounts, require the instructor to refund any amounts refunded to students for the instructor’s Submitted Content.
6. MycoLearn Trademarks, Branding, and Imagery
We know how much you must love our branding, which is why, being the kind and generous souls that we are, we want you to have access to our trademarks and imagery. While you are a published teacher on MycoLearn and subject to the requirements below, you may use our trademarks where we authorise you to do so.
Please don’t copy content without permission and only use the images of our trademarks that we make available to you. In addition, we ask that you only use our trademarks in connection with the promotion and sale of your Submitted Content available on MycoLearn or your participation on MycoLearn and immediately comply if we request that you discontinue use.
Just don’t be a nincompoop and use our trademarks in a misleading or disparaging way or in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services. Moreover, you must not use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.
7. Deleting Your Account
We’re the coolest school on the Internet, why would you want to leave?! Whatever your reasons, we’re ok with it…kind of.
Before fully deleting your account, we’ll use commercially reasonable efforts to make any remaining scheduled payments that are owed to you. You understand that if students have previously enrolled in your Submitted Content, you will be responsible for ensuring that your course content remains accessible to those students after your account is deleted.
If you need help or encounter difficulty deleting your account, you can contact us here.
8. Miscellaneous Legal Terms
8.1 Updates to these Terms
Just like a mycorrhizal network, MycoLearn evolves. From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and MycoLearn reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.
Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
The following sections shall survive the expiration or termination of these Terms: Sections 2 (License to MycoLearn), 3.3. (Relationship with other users), 5.2. (Receiving payments), 5.4. (Refunds), 7 (Deleting Your Account), and 8 (Miscellaneous Legal Terms).
